Terms of Service

Welcome to Weila. These Terms of Service ("Terms") are a binding legal agreement between you and Weila LLC ("Weila," "we," "us," or "our") and govern your access to and use of the Weila website, application, and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and age

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.

If you are between 13 and 18 (or the age of majority where you live), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf and permits your use of the Service.

The Service is not directed to children under 13, and we do not knowingly allow anyone under 13 to create an account. If we learn that a user is under 13, we will close the account. See our Privacy Policy for how we handle children's data.

We serve only non-personalized advertising to users we know to be under 18, in every region. See Section 10.

3. Your account

You are responsible for keeping your account and password secure, and for all activity that occurs under your account. Notify us immediately at contact@joinweila.com if you believe your account has been compromised.

You may not create an account for someone else without their permission, create accounts using false information, or share your account credentials with others.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
  • Use bots, scrapers, or other automated tools to interact with the Service in ways it is not intended to be used.
  • Manipulate study results, focus scores, Contribution Points, challenge outcomes, rankings, or any other metric through artificial or fraudulent means.
  • Harass, bully, threaten, or abuse other users in club chat, the feed, or any other feature.
  • Post or upload content that is illegal, infringing, harmful, or that violates the rights of others.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service.
  • Use the Service in any way that disrupts, disables, overburdens, or impairs it or its infrastructure.
  • Create fake accounts, or use the Service to impersonate any person or entity.

Violating these rules may result in suspension or termination of your account without refund.

5. User content

The Service lets you create and share content, which may include profile information, feed posts, club chat messages, journals, display cards, and images you upload (together, "User Content").

Your ownership. You retain ownership of the User Content you create. We do not claim ownership of it.

License you grant us. By posting or uploading User Content, you grant Weila a worldwide, non-exclusive, royalty-free license to host, store, use, display, reproduce, distribute, and modify that User Content solely to operate, provide, and improve the Service. This includes displaying your posts to other users. We will only use your User Content in external marketing materials with your permission.

Your responsibility. You are solely responsible for the User Content you post or upload. You represent that you have the right to post it and that it does not infringe or violate anyone else's rights.

Uploaded images. If you upload images, the following apply in addition to the acceptable-use rules above. You must not upload:

  • Content that is sexual, sexually suggestive, or pornographic.
  • Content depicting or promoting violence, self-harm, or cruelty.
  • Content that infringes another person's copyright, trademark, privacy, or publicity rights.
  • Any image of a person taken or shared without their consent.

Zero tolerance for child sexual abuse material. We do not permit any content that sexually exploits or endangers minors. We will remove such content, terminate the accounts involved, preserve relevant records, and report it to the National Center for Missing and Exploited Children (NCMEC) and to law enforcement as required by law.

Image metadata. Photos often contain embedded metadata such as location (GPS) coordinates, device details, and timestamps. Where practical we strip location metadata from uploaded images, but you should assume that anything you upload may contain such data, and you should remove sensitive metadata before uploading if you are concerned. Reporting and removal. If you see User Content that violates these Terms, you can report it to contact@joinweila.com. To report copyright infringement specifically, use the process in Section 6. We may remove any User Content that violates these Terms or that we determine, in our reasonable discretion, is harmful to the Service or its users. We are not obligated to monitor User Content, but we may do so.

6. Copyright and DMCA

We respect intellectual property rights and expect our users to do the same.

Reporting infringement. If you believe content on Weila infringes your copyright, send a written notice to our designated agent that includes:

  • Your physical or electronic signature.
  • Identification of the copyrighted work you claim has been infringed.
  • Identification of the material you claim is infringing and its location on Weila.
  • Your contact information (address, phone number, and email).
  • A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-notices. If your content was removed under a DMCA notice and you believe it was removed in error, you may send a counter-notice to legal@joinweila.com that complies with DMCA requirements.

Repeat infringers. We will terminate the accounts of users who are determined to be repeat copyright infringers.

7. Contribution Points and conservation donations

Contribution Points ("CP") are an in-app conservation currency you earn through activity on the Service, such as study sessions, post ratings, and challenges. Both free and paid users earn CP. Weila+ subscribers earn CP at an increased rate.

CP has no cash value to you. CP is not money and is not redeemable, transferable, or exchangeable for cash, credit, or any real-world value by you. You cannot withdraw or transfer CP, and CP does not represent a personal donation by you.

How donations work. Weila makes charitable donations to conservation causes out of its own revenue. The dollar amount Weila donates is tied to the total CP the Weila community earns, at a fixed dollar equivalent that Weila sets. In other words, the more CP the community collectively earns, the more Weila donates. Weila donates the dollar value that corresponds to the CP earned.

Weila is the donor. Because these donations are funded from Weila's revenue and made by Weila, Weila is the donor of record. You are not making a tax-deductible charitable contribution, and any impact summary, dashboard figure, or acknowledgment we provide to you is for information only and is not a tax receipt or a record of a gift by you.

Recipients and transparency. Weila selects the conservation organizations that receive donations and may change recipients over time. We aim to share information about where donations go, but we do not guarantee that any specific amount will be donated to any specific organization at any specific time, except as we describe on the Service.

8. Virtual items

The Service includes virtual items, which currently include collectible animals, packs, display cards, and stickers.

  • Animals are obtained by opening packs. Each animal has a randomly assigned identity set once when it is rescued. Animals grow as you study.
  • Packs are awarded within the Service and are opened to reveal an animal. Packs are not currently purchased with real money.
  • Stickers are earned by leveling up animals and can be displayed on your profile.
  • Contribution Points are covered in Section 7.

All virtual items are licensed to you, not sold, and have no monetary value. They cannot be exchanged for real money, sold, or transferred outside the Service. Your license to use them ends when your account is closed. We may modify, adjust, or retire virtual items at any time.

9. Weila+ subscription and billing

Free tier. Weila offers a free tier with the features described on our pricing page.

Weila+. Weila+ is a paid subscription that unlocks additional features, which may include an increased Contribution Points rate, higher in-app limits, exclusive cosmetic items, and an ad-free experience. Pricing is shown on our pricing page and may change with at least 30 days' notice to existing subscribers. Prices may be displayed in your local currency for convenience, but billing is processed in the currency specified at checkout.

Payments. Subscriptions purchased on the web are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. We do not store your full card details; Stripe handles payment processing.

Free trial. New users may be offered a free trial. Starting a trial requires a valid payment method. We do not automatically charge you when the trial ends. At the end of the trial, you will remain on the free tier unless you actively choose to continue with Weila+.

Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you keep Weila+ access until then. We do not provide refunds for partial billing periods except where required by law.

Refunds. We offer a refund within 7 days of your first payment if you have not made substantial use of the paid features. Other refunds are at our discretion and are not guaranteed except where required by applicable law, including any statutory withdrawal or cancellation rights you may have as a consumer.

Referrals. We may offer referral rewards, such as a short period of Weila+ or a pack, granted to both users after a referred user completes a qualifying action. Referral terms are described on the Service and may change.

10. Advertising

The free tier of the Service may display advertisements served through third-party advertising partners, including Google. By using the free tier, you consent to the display of advertisements. Weila+ subscribers do not see third-party ads.

We serve only non-personalized advertising to users we know to be under 18, in every region, regardless of consent.

For all other users, advertising may be personalized subject to your consent and the choices described in our Privacy Policy. We are not responsible for the content of third-party advertisements or the products or services they promote.

11. Smart features

The Service includes smart features (for example study assistance, coaching, recaps, quizzes, and generated study material) that are powered in part by third-party AI providers, currently Google. When you use these features, the inputs you provide may be processed by that provider to generate a response. See our Privacy Policy for details.

Smart features can be wrong, incomplete, or unsuitable for your needs. They are provided as a study aid only and are not professional, academic, medical, legal, or financial advice. You are responsible for verifying anything important before relying on it.

12. Intellectual property

The Service, including its software, code, design, branding, name, and the content we create, is owned by Weila LLC and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission, except as expressly allowed by these Terms.

Some images and sounds used in the Service are licensed under Creative Commons or similar open licenses and remain the property of their respective creators. We use such content in accordance with its license terms, including attribution where required.

13. Third-party services

The Service relies on third-party providers to function, including for hosting and data storage, payment processing, security, advertising, and smart features. Your use of the Service is also subject to those providers' terms where applicable. We are not responsible for third-party services or websites that we do not control.

14. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Your use of the Service is at your own risk.

15. Limitation of liability

To the maximum extent permitted by law, Weila LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service will not exceed the greater of the amount you paid us in the 12 months before the claim, or 100 US dollars.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Weila LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be resolved by binding arbitration in Wyoming under the rules of the American Arbitration Association, except that either party may seek relief in court for intellectual property disputes. You waive the right to participate in class-action lawsuits or class-wide arbitration.

Nothing in this section removes any mandatory consumer-protection rights you have under the laws of your country of residence.

18. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or an in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date means you accept the updated Terms.

19. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may close your account at any time through settings. Upon termination, your right to use the Service ends immediately, and Sections 5 (license), 7, 8, 14, 15, 16, and 17 survive.
